Why private note holder sells at discount?

Hi all,

I am confusing at why note holders are willing to sell to note investors at discount?

The only reason I can think of is they need to have immediate cash in return. However, at the time they sell the notes at discounts, doesnt it mean they lose some money already?

I appreciate anyone who can answer my very basic question.
